Eligibility to be a director
Eligibility
The CATSI Act says that to be eligible to be a director, a person must be:
- a member of the corporation – unless the corporation's rule book allows people who are not members
- be an Aboriginal or Torres Strait Islander person – unless the rule book allows people who are non-Indigenous
- at least 18 years old
- have or apply for a director ID.
The CATSI Act also says a person may not be eligible if they:
- have certain criminal convictions related to fraud or dishonesty
- are bankrupt
- were disqualified from managing corporations under any Act.
Your corporation's rule book may also have some extra rules around director eligibility such as:
- living in a certain area
- having certain knowledge, connections or qualifications
- being independent from the corporation
- not having served their maximum allowed term or number of appointments.

Disqualification
The Registrar may disqualify someone from the board if they are convicted of offences involving dishonesty, fraud, or other serious breaches of corporate duty.
Disqualified people are not allowed to hold board positions.

Consent and declaration of eligibility by the prospective director
Before a person is appointed as a director they must provide a written and signed document to the corporation that says they are eligible to become a director of the corporation and agree to becoming a director of the corporation.
